1. Acceptance of Terms

By accessing or using the Velvet Africa platform ("Platform"), including our website, mobile application, and any related services (collectively, "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Services.

These Terms constitute a legally binding agreement between you and Velvet Africa Ltd ("Company", "we", "us", or "our"). We reserve the right to modify these Terms at any time. Continued use of the Services after changes constitutes acceptance of the updated Terms.

2. Eligibility

You must be at least 18 years of age to create an account or use the Services. By registering, you represent and warrant that you are 18 or older, that you have the legal capacity to enter into these Terms, and that all information you provide during registration is accurate and truthful.

The Platform is intended for adults seeking personal companionship and entertainment services as legally permitted in your jurisdiction. It is your sole responsibility to ensure your use of the Platform complies with all applicable local laws and regulations.

3. Account Registration and Security

You must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Notify us immediately of any unauthorised use of your account
• Not share your account credentials with any third party
• Not create multiple accounts or accounts on behalf of others without authorisation
• Not use another user's account without permission

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used fraudulently.

4. Creator Services and Bookings

Creators on the Platform offer personal services ("Services") that users ("Clients") may book. All bookings are facilitated by the Platform but represent a direct agreement between the Creator and the Client.

• Service prices are set by individual Creators and displayed in the Client's local currency or as otherwise noted
• A platform service fee of 20% is applied to all bookings (creators earn 2% less fees after their first 10 bookings, based on their active tier)
• Transport fees may apply based on distance when location-based services are requested
• Bookings are confirmed only upon successful payment processing
• Clients must honour confirmed bookings; repeated no-shows may result in account suspension
• Creators must fulfil confirmed bookings; failure to do so may result in refunds and account penalties

5. Payments and Refunds

All payments are processed through our integrated payment partners (Pesapal). By making a payment, you authorise us to charge your selected payment method for the stated amount.

• Funds are held in escrow and released to Creators after service completion
• Refunds may be issued at our discretion in cases of Creator non-performance or verified disputes
• The platform fee (20%) is non-refundable once a booking is confirmed
• Wallet credits have no cash value and are non-transferable
• Withdrawal requests are processed within 3–5 business days

6. Content and Subscriptions

Creators may publish content (photos, videos, posts) on the Platform, which may be freely accessible or locked behind a paid subscription. By purchasing a subscription, you gain access to that Creator's locked content for the subscription duration. Subscriptions renew automatically unless cancelled.

You may not reproduce, redistribute, or share any content obtained through subscriptions. Violation of this provision may result in account termination and legal action.

7. Prohibited Conduct

You agree not to:

• Solicit, arrange, or facilitate illegal activities of any kind
• Harass, threaten, or abuse any Creator, Client, or Platform staff
• Post or transmit obscene, defamatory, or unlawful content
• Attempt to circumvent the Platform's payment system or engage in off-platform transactions
• Create fake reviews, manipulate ratings, or misrepresent your identity
• Use automated tools, bots, or scrapers to access the Platform
• Attempt to gain unauthorised access to any part of the Platform or its infrastructure
• Engage in any activity that disrupts or interferes with the Platform's operation

8. Privacy and Data

Your privacy matters to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the data practices described in the Privacy Policy.

9. Intellectual Property

The Platform, including its design, code, trademarks, and original content, is owned by Velvet Africa Ltd and is protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Platform without our express written consent.

By uploading content to the Platform, you grant us a non-exclusive, worldwide, royalty-free licence to display, distribute, and promote that content within the Platform and our marketing materials.

10. Disclaimers and Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE THE AVAILABILITY, ACCURACY, OR RELIABILITY OF THE PLATFORM. TO THE MAXIMUM EXTENT PERMITTED BY LAW, VELVET AFRICA LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICES.

We act as an intermediary between Creators and Clients and are not responsible for the quality, safety, or legality of services rendered by Creators. Background checks on Creators do not constitute an endorsement or guarantee of their conduct.

11. Termination

We reserve the right to suspend or permanently terminate your account at our discretion, with or without notice, for violations of these Terms or for any other reason we deem necessary to protect the Platform or its users. You may request account deletion at any time from your account settings.

12. Governing Law and Disputes

These Terms are governed by, and construed in accordance with, the laws of the United States of America, without regard to its conflict-of-law principles. Any disputes arising from these Terms or your use of the Services shall be subject to the exclusive jurisdiction of the competent courts of the United States of America.
